The contract may say your shop has to cover the GC's losses, lawyers, or claims, even if the GC or another trade caused the problem.

Why it matters

One broad indemnity clause can create exposure far larger than the profit on the job.

Risky version

Subcontractor will indemnify and defend Contractor for claims arising out of the Work, including claims caused in part by Contractor.

Cleaner version

Subcontractor indemnifies Contractor only to the proportionate extent claims are caused by Subcontractor's negligent acts, omissions, or breach.

Copy-paste ask

Can we narrow indemnity so our shop stands behind its own work and mistakes, but does not insure the GC or other parties for risks we did not cause?

Escalate if

Bring counsel in before signing broad defense, additional-insured, or GC-negligence language because exposure can exceed the job profit quickly.
