A shop cannot price, schedule, insure, or manage obligations it has not seen.
Subcontractor assumes toward Contractor all obligations Contractor assumes toward Owner under the Prime Contract.
Prime contract terms flow down only to the extent they directly relate to Subcontractor's scope, are provided before signing, and do not conflict with this Subcontract.
Can we attach the prime contract and limit flow-down to terms that directly apply to our millwork scope, with the negotiated subcontract controlling if documents conflict?
Use counsel if the prime is not attached, liquidated damages are hidden upstream, or the strictest-document rule overrides your negotiated scope.
