If the project runs late, the GC may try to charge your shop a daily amount or pass down owner damages.
Why it matters
Millwork is often late-sequence work. Your install window can be squeezed by problems that happened months before your crew arrived.
Subcontractor is liable for all damages arising from late performance, including owner liquidated damages and extended overhead.
Subcontractor is liable only for delay damages caused solely by Subcontractor, subject to a reasonable cap, with time extensions for GC, owner, design, site-readiness, and predecessor delays.
Can we limit delay exposure to delays actually caused by our shop, add a reasonable cap, and preserve time extensions for late access, approvals, changes, and predecessor delays?
Use counsel if delay damages are uncapped, flow down from the prime contract, or combine with no-damages-for-delay language.
