Liquidated damages / delay damages ask language for the GC.

Delay clauses can turn a late project into a direct bill against your shop, even when the delay was outside your control.

Direct ask

Liquidated damages / delay damages

Copy-paste ask

Can we limit delay exposure to delays actually caused by our shop, add a reasonable cap, and preserve time extensions for late access, approvals, changes, and predecessor delays?

Use when the contract says

Subcontractor is liable for all damages arising from late performance, including owner liquidated damages and extended overhead.

Ask the GC to move toward

Subcontractor is liable only for delay damages caused solely by Subcontractor, subject to a reasonable cap, with time extensions for GC, owner, design, site-readiness, and predecessor delays.

Escalate if

Use counsel if delay damages are uncapped, flow down from the prime contract, or combine with no-damages-for-delay language.
